Minimum Advertised Price Policy

EILUX International Limited has implemented a Minimum Advertised Price (MAP) policy, which establishes standards for media advertisements of EILUX
branded products.

Any advertisement that pictures or otherwise describes one of our products is subject to this policy.  This MAP policy will initially apply to those EILUX
branded products listed on the “Minimum Advertised Pricing List” or “MAP List”.  The MAP List may be revised from time and time and the MAP policy shall
apply to the most recent version of any MAP List published by EILUX.  Each subsequent MAP List shall state the date that it becomes effective.   

This MAP policy applies equally to the entire reseller organization who resells EILUX branded products. Each reseller is responsible for compliance with this
policy by all segments of its organization.  If any one location within a reseller’s organization violates any component of this MAP policy, the consequence will
apply to the entire organization.

Each reseller is free to set and negotiate the actual resale price for any MAP product.

EILUX will enforce this policy.  In the event a reseller fails to comply with the MAP policy, EILUX specifically reserves the right to cancel all existing, accepted
unshipped orders and refuse to accept new orders, both at EILUX and its distributors, for EILUX products for the following period of time:
a.        First policy violation: 60 days;
b.        Second policy violation: 120 days; and
c.        Third policy violation: indefinitely.

Advertising Covered by MAP Policy
A. Print advertising such as newspapers, magazines, and multi-page inserts.
B. Broadcast advertising, such as advertising on government-licensed radio and TV stations, public or cable
television sponsorships.
C. Direct mail advertising, such as catalogs, flyers, newsletters, and broadcast faxes.
D. On-line advertising including:
1.        E-mail blasts. Any promotional e-mail either originating from the reseller or in response to any inquiry from prospective customer. Any web pages that
link from an e-mail are considered part of the same advertisement.
2.        Internet advertising (in all areas of a website above the “shopping cart” level on any web site and other pages that follow upon “click-through”)
including:
a.        Internet-only “e-tailers” that offer covered products.
b.        Web sites of traditional retailers, distributors, and mail-order businesses that offer covered products, including membership clubs.
c.        On-line services and portal sites that advertise covered products (such as but not limited to aol.com, yahoo.com).
d.        Shopping sites (“bots”) that advertise prices offered on covered products (such as, but not limited to, mylamon.com, dealtime.com, bottomdollar.com).
e.        Auction sites with a minimum or starting bid (such as ubid.com, ebay.com). NOTE: EILUX does not permit the sale of their products on any auction site.
f.        “Banner ads” for a covered product placed on any web site (including the store’s own web site) and pages that follow banner ads upon “click-through”.

Not Covered by MAP Policy
A.        In-store merchandising (such as, price tags, window displays, etc.).
B.        The shopping cart of a web site, as long as the product was placed there by the consumer (by clicking an “Order” or “Add To Cart” button).
C.        Password-protected web sites intended for the use of wholesale customers only and not accessible by the general public.  EILUX will randomly
monitor such websites to determine that wholesale pricing in not being offered to the general public.

NOTE: By entering into a business relationship with EILUX, or any of our distributors, you agree to abide by the above policies. By violating any of the above
policies you agree to be removed from our list of authorized resellers and will no longer receive the support of our service center.
